Job Purpose
To manage all aspect of the compliance function of each operating unit in the Peermont Group with legislation, regulations, rules, policies, rulings and conditions applicable to it.
To be responsible for all aspects of the group’s company secretarial function and corporate governance requirements as well as compliance with a variety of legislation.
Qualifications
- A relevant legal degree;
- A minimum of 5 years relevant experience;

Main Responsibilites
- Responsible at all levels for all secretarial and statutory functions and duties in terms of common law and the Companies Act in respect of all companies in the Peermont group and trusts related to the Peermont group;
- Ensure that each board is aware of and each company complies with all legislative and corporate governance requirements;
- Ensure the timeous distribution of board and committee documentation and minutes;
- Ensure effective and efficient management of all logistical arrangements pertaining to board/committee/trustee activities;
- Keep each board and executive informed of existing and new legislative requirements;
- Act as the custodian of the code of ethics and monitoring compliance thereof;
- Ensure timely production and distribution of integrated report;
- Actively track and provide insight over group sustainability and B-BBEE activities;
- Provide support to the Board/EXCO in preparing agendas, recording, circulating minutes and adherence to group policies;
- Champion corporate compliance and good governance including application of and reporting on the King IV code on corporate governance;
- Advise each board and each business by providing pro-active support and advice on corporate governance and regulatory/statutory compliance issues.
- Manage any gambling licence bids in order to apply for and obtain gambling licences as identified.
- Ensure compliance with any bid commitments associated with all gambling licences held by the Group in order to retain such licences.
- Planning, implementation and monitoring of operations local compliance plans.
- Manage and Chair the unit Compliance review meetings.
Main Responsibilites Cont.
- Ensure that the findings of all internal and external compliance audit reports are addressed.
- Build and maintain sound relationships with regulators and industry stakeholder.
- Represent the Group in all compliance related disciplinary matters instituted against the Group.
- Manage all communication with regulators and obtain all approvals or dispensations required from regulators from time to time.
- Actively monitor and report on any proposed or approved changes to licensing processes in the gambling industry.
- Analyse and report on the impact of draft and promulgated legislation on the Group.
- Ensure that liquor licences are applied for and obtained as required by the operations.
- Ensure compliance to the provisions and legislative requirements of any liquor licences in order to retain the validity of such licences.
- Ensure we obtain any other licences as required by the operations and legislation.
- Ensure compliance to all the provisions and legislation relating to such licences.
- Ensure that all aspects of the Financial Intelligence Centre Act and the Protection of Constitutional Democracy Against Terrorist and Related Activities Act is managed and complied with.
- Manage compliance with all other legislation application to the Group including but not limited to, the Protection of Private Information Act, the Consumer Protection Act, amongst others;
- Arrange and manage the annual B-BBEE verification process and ensure that certificates are issued timeously.
- Ensure that other risks applicable to the Group are managed and act as the Risk Officer of the Group if required.
